The decision to pursue an exit to the capital markets, a SPAC transaction or a dual-track process exponentially increases the level of complexity and demands on the finance team. Our clients are able to leverage our depth of experience, combined with a hands-on execution approach, to ensure the necessary deliverables are completed and timelines are achieved. We are able to support these efforts with services that include IPO readiness, SEC reporting and external audit support.
We also support private equity through divestitures to generate liquidity or streamline operations through the carve-out of non-core businesses. We are accustomed to being inserted into these transaction processes that require tight timelines, coordination with other service providers, and addressing needs in complex accounting environments.

Deal timelines and maximizing shareholder value in a transaction largely hinge on a company’s ability to produce accurate financial information that will withstand buy-side financial due diligence and this responsibility often falls to a finance function that will typically be overwhelmed due to lack of experience, bandwidth or both. Paradigm brings deep expertise around the M&A process and works hand-in-hand with clients and their investment bankers and deal counsel to provide a cohesive solution to minimize business disruption and ensure accurate financial information is presented during the transaction process.

As middle market companies evolve, so do their needs. Larger privately-held and publicly-traded clients with EBITDA greater than $30 million often face challenges that smaller privately-held businesses do not. Many of these companies seek assistance in responding to the complexities associated with SEC filings and financial reporting. Often times our clients lack the scale and in-house expertise to address the compliance reporting requirements of a public company. Additionally, we support corporate clients when they look to shift operational focus or generate liquidity with divestitures/carve-outs.
